Terms of Service — PayCart
Effective Date: 28 January 2026 | PayCart Technologies Limited
Welcome to PayCart!
PayCart Technologies Limited (“PayCart”, “we”, “us”, or “our”) provides its services through its website located at www.paycart.com.ng and associated mobile web applications, dashboards, and APIs (collectively, the “Site” or “Platform”).
PayCart is a mobile-first Merchant Operating System. It allows merchants, vendors, and businesses (“Merchants”) to list products, create digital storefronts, manage multi-channel orders (WhatsApp, Instagram, in-store POS), record sales, track inventory, collect payments seamlessly via integrated payment providers, and book logistics/deliveries without needing to code or manage complex hosting.
By accessing or using PayCart's Services, you agree to be bound by these Terms of Service (which incorporate our Privacy Policy and all referenced operating policies), without modification, entering into a legally binding agreement governing your use of the PayCart platform.
1. Definitions
- “Merchant” means any individual or registered legal entity that creates, operates, or manages a storefront and sells goods or services to Customers through the Platform.
- “Customer” means any end user or buyer who browses, orders, pays for, or receives goods or services from a Merchant via PayCart.
- “User” means any person who accesses or interacts with the Platform, including Merchants and Customers.
- “Order” means a Customer purchase request for goods or services submitted to a Merchant through the Platform.
- “Third-Party Services” means external services integrated into or accessible via PayCart, including payment gateways (e.g. Paystack), logistics carriers, messaging channels (WhatsApp, Meta), and verification partners.
2. Scope of Service
PayCart provides digital commerce enablement tools that empower Merchants to create and manage digital storefronts, catalog products, generate instant payment links and invoices, sync multi-channel inventory, manage orders, and book dispatch pickups with integrated delivery couriers.
PayCart operates strictly as a technology platform intermediary. Unless expressly stated otherwise in writing, PayCart is not the seller, reseller, manufacturer, buyer, distributor, or legal agent in any transaction between a Merchant and a Customer.
3. Merchant & Customer Accounts
Users may browse public storefronts without registering. However, Merchants must create a verified account to access the dashboard, catalog tools, POS terminal, and settlement mechanisms.
Account Security: You are solely responsible for maintaining the confidentiality of your login credentials, passwords, and OTP tokens. You must immediately notify PayCart of any unauthorized account access.
Authorized Representative: Any individual registering a business account represents that they have full legal authority to bind that business entity to these Terms.
4. Merchant Obligations & Prohibited Items
As a Merchant on PayCart, you are the merchant of record for all items sold through your storefront and are exclusively responsible for:
- Product legality, safety, quality, and accurate descriptions;
- Fulfillment, packaging, and dispatch timelines;
- Setting clear refund, return, and cancellation policies for your buyers;
- Tax compliance and statutory reporting under applicable Nigerian laws.
Prohibited Uses: You may not use PayCart to sell illegal goods, counterfeit items, firearms, unlicensed medications, stolen merchandise, or engage in card testing, fraud, money laundering, or chargeback manipulation.
5. Payments, Fees & Settlement
Payments on PayCart are processed through authorized payment infrastructure partners (including Paystack and licensed Nigerian financial institutions).
- Settlements: Verified Merchant settlements are credited directly to the merchant's registered Nigerian bank account according to the agreed payout cadence.
- Risk Reserves & Holds: To prevent fraud and protect platform integrity, PayCart and its payment partners reserve the right to temporarily withhold or adjust settlements where suspicious activity, chargebacks, customer complaints, or verification failures occur.
- Chargebacks: The Merchant remains solely responsible for all chargebacks, reversals, and disputed payments arising from their customer transactions.
6. Deliveries & Logistics
Delivery aggregation is facilitated through independent third-party logistics partners across Nigerian states. PayCart acts as a software aggregator to generate dispatch requests and live tracking links, but does not operate direct haulage fleets or assume direct carrier liability for road delays, courier damage, or transit incidents except where mandated by law.
7. Limitation of Liability
To the maximum extent permitted by applicable law, PayCart Technologies Limited (including its directors, employees, and affiliates) will not be liable for any indirect, incidental, special, or consequential damages, loss of profits, data loss, or business interruption arising from the use of the platform.
PayCart's total aggregate liability for direct claims relating to the platform shall not exceed the total platform subscription fees paid by you to PayCart in the six (6) months preceding the claim.
8. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
Any dispute or claim arising from these Terms shall first be submitted to good-faith mediation. If unresolved within thirty (30) days from written notice, either party may submit the dispute to the courts of competent jurisdiction in Nigeria.
